1. Agreement to Terms

By accessing or using the services provided by TrustLayer ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

TrustLayer provides managed security, backup, compliance, and monitoring services for Microsoft 365 environments. Our services include but are not limited to:

  • Email and data security protection
  • Cloud backup and recovery solutions
  • Compliance and governance tools
  • 24/7 monitoring and threat detection
  • Identity and access management
  • Technical support and consulting

3. Account Registration

To use certain features of our services, you may be required to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Service Level Agreement

We strive to provide reliable services with 99.9% uptime. Specific service level commitments, including response times and support availability, will be outlined in your service agreement.

5. Payment Terms

Payment terms for our services are as follows:

  • Fees are billed monthly or annually as agreed upon in your service agreement
  • Payment is due within 30 days of invoice date unless otherwise specified
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • Prices may be subject to change with 30 days' notice

6. Client Responsibilities

As a client, you agree to:

  • Provide necessary access to your Microsoft 365 environment for service delivery
  • Maintain accurate contact information for notifications and support
  • Comply with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purpose
  • Notify us promptly of any security incidents or concerns

7. Data Protection and Security

We take data protection seriously and implement industry-standard security measures. However:

  • You retain ownership of all your data
  • We will process your data only as necessary to provide our services
  • We comply with applicable data protection regulations including GDPR
  • We maintain appropriate technical and organizational security measures

8. Intellectual Property

All intellectual property rights in our services, including software, documentation, and methodologies, remain the property of TrustLayer. You are granted a limited, non-exclusive license to use our services during the term of your agreement.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for the services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not liable for losses resulting from circumstances beyond our reasonable control
  • We are not liable for data loss where you have failed to maintain adequate backups

10. Indemnification

You agree to indemnify and hold harmless TrustLayer and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate the service agreement:

  • With 30 days' written notice for convenience
  • Immediately for material breach that remains uncured after 14 days' notice
  • Immediately if the other party becomes insolvent or bankrupt

Upon termination, we will assist with the orderly transition of services and return of your data.

12. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, or infrastructure failures.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of our services after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the appropriate courts.
